Terms of Service
Version: 1.2
Effective date: 20 October 2026
Last updated: 20 October 2026
These Terms of Service ("Terms") govern your access to and use of the Bora website, web application and mobile applications (together, the "Service"). The Service is provided by CodeDev (شركة كود التطوير لتقنية المعلومات), a company registered in the Kingdom of Saudi Arabia under Commercial Registration No. 7031638500 ("Bora", "we", "us" or "our").
By creating an account, ticking the acceptance box, or using the Service, you confirm that you have read, understood and agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Who may use Bora
- You must be at least 18 years old and legally able to enter into a binding contract.
- If you create a workspace for a company or other organization, you confirm that you are authorized to act on its behalf and to bind it to these Terms. In that case, "you" also means that organization.
- The Service is a business tool. It is not intended for personal, family or household use.
2. Your account
- Provide accurate, current and complete information when you register, and keep it up to date.
- Keep your password and sign-in methods confidential. You are responsible for all activity that happens under your account.
- Owners and Admins of a workspace must enable multi-factor authentication when the Service asks for it.
- Tell us immediately at info@codedev.sa if you suspect unauthorized access to your account.
3. Workspaces, roles and members
- A workspace belongs to the organization that created it. The workspace Owner controls it and can invite members, assign roles (Owner, Admin, Member and others) and remove access.
- Members see and change data according to the role and permissions their workspace grants them.
- When you leave a workspace or are removed from it, you lose access to that workspace's data. Your personal account can continue to exist.
- The organization is responsible for the members it invites and for what they do in its workspace.
4. What the Service provides
Bora is a business workspace that helps organizations manage, among other things:
- government and private tenders and opportunities;
- projects, contracts, payments and expenses;
- tasks and team collaboration;
- employees, attendance (check-in / check-out), leave and HR records;
- documents and company records;
- an AI Assistant that answers questions using your workspace data.
We may add, change or remove features over time. If a change materially reduces a paid feature you rely on, we will give reasonable notice.
5. Acceptable use
You agree not to:
- break any law or regulation of the Kingdom of Saudi Arabia or any other applicable law;
- upload content you have no right to share, or content that is unlawful, defamatory, fraudulent or infringes someone else's rights;
- upload personal data of other people (for example employees or customers) without a lawful basis to do so;
- attempt to access another workspace, account or system without permission, or bypass security or usage limits;
- reverse-engineer, scrape, overload or interfere with the Service, or introduce malware;
- resell, sublicense or provide the Service to third parties except as we allow in writing;
- use the Service, including the AI Assistant, to build a competing product or to generate unlawful or harmful content.
We may suspend or restrict access that breaks this section in order to protect the Service, other users or the public.
6. Your content and data
- You own your content. "Your content" means the data, documents, records and other material you or your members put into the Service.
- You give Bora a limited licence to host, store, copy, process, transmit and display your content only to provide, secure and support the Service for you, and as described in our Privacy Policy.
- You are responsible for your content and for having the rights and lawful basis to use it in the Service, including personal data about employees, customers and other people.
- When we process personal data on your organization's behalf, we act as a service provider (processor) and follow your organization's instructions as expressed through its use of the Service.
7. AI features
- AI features are optional. Before your first AI action, we ask for your separate consent to share the relevant data with our AI providers. You can withdraw that consent at any time in Preferences → AI data sharing.
- AI answers are generated automatically and may be incomplete or wrong. They are not legal, financial, tax or professional advice. Review AI output before you rely on it or act on it.
- Usage limits (for example monthly token allowances) may apply according to your plan.
8. Subscriptions, fees and payment
- Bora is licensed to organizations. Some features require a paid subscription, which the organization's authorized representative buys directly from Bora. Prices, plan limits and billing periods are shown before purchase.
- Prices are in Saudi Riyals (SAR) and exclude VAT unless stated otherwise. Applicable VAT is added when you pay.
- Subscriptions renew automatically only if automatic renewal is selected. The workspace Owner can cancel at any time; cancellation takes effect at the end of the current paid period.
- We do not store full payment card details. Payments are processed by our payment service provider.
- Except where applicable law requires otherwise, fees already paid are non-refundable.
- If payment fails or a subscription expires or is revoked, paid features may be limited.
9. Third-party services
The Service may link to or integrate with third-party services (for example Google sign-in, government tender portals, AI providers or payment providers). Your use of those services is governed by their own terms. We are not responsible for third-party services we do not control.
10. Intellectual property
The Service, including its software, design, logos, the "Bora" name and all related content (excluding your content), is owned by Bora or its licensors and is protected by law. These Terms do not give you any right to use our trademarks or branding. If you send us feedback or suggestions, we may use them without any obligation to you.
11. Availability and changes to the Service
We work to keep the Service available and secure, but we do not guarantee that it will be uninterrupted or error-free. We may carry out maintenance, which we try to schedule outside normal working hours and announce in advance where practical.
12. Suspension and termination
- You can stop using the Service at any time, and you can request deletion of your account from your account settings or by contacting us.
- We may suspend or terminate your access if you seriously or repeatedly break these Terms, if we are required to by law, or if your use creates a risk to the Service or to others. Where reasonable, we will tell you in advance and give you a chance to fix the problem.
- After termination, we keep or delete data as described in our Privacy Policy. Before closing a workspace, the Owner can export its data while access remains available.
13. Disclaimers
The Service is provided "as is" and "as available". To the extent permitted by law, we disclaim all warranties not expressly stated in these Terms, including fitness for a particular purpose. Information shown about tenders and other third-party sources comes from those sources; always confirm it with the official source before you rely on it.
14. Limitation of liability
To the extent permitted by law:
- Bora is not liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, business opportunities or data;
- Bora's total liability for all claims relating to the Service is limited to the amount you paid Bora for the Service in the 12 months before the event that gave rise to the claim.
Nothing in these Terms limits liability that cannot be limited by law.
15. Indemnity
You agree to compensate Bora for reasonable losses and costs arising from claims by third parties caused by your content or your breach of these Terms.
16. Changes to these Terms
We may update these Terms from time to time. When we make a material change, we will notify you in the Service or by email before the change takes effect, and we may ask you to accept the updated Terms. The version number and dates at the top of this page show which version applies.
17. Governing law and disputes
These Terms are governed by the laws of the Kingdom of Saudi Arabia. We will first try to resolve any dispute amicably. If that fails, the dispute will be referred to the competent courts of the Kingdom of Saudi Arabia.
18. Language
These Terms are available in Arabic and English. If the two versions conflict, the Arabic version prevails.
